Public Offer Agreement
Welcome to www.eventslibrary.ae (the "Website"). This Public Offer Agreement (the "Agreement") constitutes a legally binding contract between EVENTS LIBRARY FLOWERS AND PLANTS TRADING LLC, a limited liability company duly incorporated under the laws of the Emirate of Dubai, United Arab Emirates, holding a commercial license for flowers and plants trading (hereinafter referred to as the "Company", "Events Library", "we", "us", or "our") and any individual or entity (hereinafter referred to as the "Customer", "you", or "your") placing an order for floral arrangements, botanical products, lifestyle items, and related design services (the "Products") via our Website.
By accessing this Website and/or placing an order, you unconditionally accept and agree to be bound by these Terms and Conditions.
Any new features or tools which are added to the current store shall also be subject to the Terms of Service. You can review the most current version of the Terms of Service at any time on this page. We reserve the right to update, change or replace any part of these Terms of Service by posting updates and/or changes to our website. It is your responsibility to check this page periodically for changes. Your continued use of or access to the website following the posting of any changes constitutes acceptance of those changes.
Our store is hosted on Shopify Inc. They provide us with the online e-commerce platform that allows us to sell our products and services to you.
1. Subject of the Agreement
1.1. EVENTS LIBRARY FLOWERS AND PLANTS TRADING LLC agrees to sell, assemble, and deliver floral arrangements, live plants, indoor/outdoor botanical installations, planters, and related design products, and the Customer agrees to accept and pay for these Products in accordance with the terms specified in this Agreement.
1.2. This Agreement is a Public Offer. Placement and full or partial prepayment of an order on www.eventslibrary.ae constitutes unconditional and irrevocable acceptance (Acceptance) of this Offer by the Customer.
2. Product Specifications & Aesthetic Disclaimer
2.1. Natural Product Variance & Seasonality: Flowers, foliage, and live plants are natural, living materials subject to seasonal availability, global market supply, and climatic conditions. The Customer acknowledges that these terms apply to all categories and species of flowers and plants offered by the Company. Due to the inherent nature of botanicals, exact replicas are impossible.
2.2. Concept vs. Replica (Designer's Vision): Images displayed on www.eventslibrary.ae serve as a stylistic and conceptual example of the arrangement's color palette, size, and mood. Each arrangement created by Events Library is a bespoke piece of floral art, assembled based on the designer’s individual vision and unique professional interpretation. The final Product will be crafted in the requested color scheme and within the exact paid value, but will have natural and artistic variations in composition, flower placement, and specific botanical varieties.
2.3. Substitution Policy: To maintain our strict aesthetic integrity and guarantee maximum freshness, Events Library reserves the right to substitute any flower or plant varieties, foliage, planters, or packaging materials with equivalents of equal or greater value. Such substitutions will always respect the overall style, high-contrast minimalist aesthetic, and color profile of the chosen design. If a fundamental substitution is required, we will attempt to contact the Customer. If the Customer is unreachable via the provided contact methods, our design team will proceed with the substitution to ensure timely delivery without delaying the order.
3. Pricing, VAT, and Payment
3.1. All prices on www.eventslibrary.ae are listed in UAE Dirhams (AED).
3.2. Value Added Tax (VAT): In compliance with UAE Federal Decree-Law, a 5% VAT is applicable and will be calculated and clearly displayed at checkout.
3.3. Payment Methods: Payments must be made via the secure online payment gateways provided on the Website. Orders will only be scheduled for assembly and delivery upon successful authorization of payment.
3.4. In accordance with the laws of the UAE, the Company will not trade with or provide any services to individuals and companies countries targeted by the Office of Foreign Assets Control (OFAC) or sanctioned countries.
3.5. Customers using the Website who are Minor /under the age of 18 shall not register as a User of the website and shall not transact on or use the website.
3.6. The cardholder must retain a copy of transaction records and Merchant policies and rules.
4. Delivery Policy (Dubai, Sharjah, Abu Dhabi)
4.1. Order Cut-Off Times & Scheduling:
- Same-Day Delivery: Orders placed and fully paid on the Website before 12:00 PM (GST - Gulf Standard Time) are eligible for delivery on the same calendar day, subject to chosen time-slot availability at checkout.
- Next-Day Delivery: Orders placed and paid after 12:00 PM (GST) will automatically be scheduled and processed for delivery on the following calendar day.
- The Customer may also select a specific future date for delivery during the checkout process.
4.2. Delivery Zones: EVENTS LIBRARY FLOWERS AND PLANTS TRADING LLC provides delivery services within the designated municipal boundaries of Dubai, Sharjah, and Abu Dhabi. Delivery fees and specific available time slots vary by Emirate and are clearly calculated and displayed during the checkout process on the Website.
4.3. Climate Control & Climate Disclaimer: To preserve the structural freshness, design integrity, and quality of premium flowers and live plants in the high-temperature climate conditions of the UAE, all Products are transported exclusively in specialized, climate-controlled vehicles. The Company maintains responsibility for the quality and freshness of the Product strictly until the moment of physical handover to the specified location, recipient, or authorized third party (e.g., concierge). The Company is not liable for any deterioration of the Product caused by subsequent improper storage, exposure to heat, or transport by the Customer or recipient.
4.4. Recipient Absence & Courier Waiting Time:
- Due to the highly perishable nature of floral and botanical products, the courier will wait at the designated delivery address for a maximum of 10 minutes.
- If the recipient is unavailable or unreachable via the provided phone number at the time of delivery, the courier is authorized to leave the Product with the building concierge, reception desk, security guards, or neighbors. Such handover shall be deemed a successful, completed, and fully executed delivery.
- Once the Product is handed over to a building representative or third party, Events Library transfers all risks of loss, damage, or degradation to the Customer, and is not responsible for the actions or negligence of such third parties.
4.5. Delivery Failure & Re-delivery: If delivery is entirely impossible due to incorrect, incomplete, or inaccurate information provided by the Customer (e.g., wrong villa/apartment number, incorrect street address, invalid phone number) or due to the outright refusal of the recipient to accept the flowers/plants, the order will be returned to our boutique.
- A re-delivery can be arranged within 12 hours from the original time slot for an additional delivery fee (the rate depends on the Emirate), subject to the current condition of the flowers.
- Strict Non-Refundability: No refunds, credits, or cancellations will be issued for failed deliveries caused by the Customer’s inaccurate data, lack of access to the property (e.g., restricted gated communities), or recipient absence.
4.6. Security Restrictions: The Customer is solely responsible for ensuring that the delivery courier has permitted access to the recipient’s building, gated community, or private villa compound. If the courier is barred from entering by building security or management, the courier will follow the procedure in Clause 4.4 (leaving the Product with security/concierge). If security completely refuses entry or custody of the Product, it will be treated as a Failed Delivery under Clause 4.5.
5. Cancellation & Amendment Policy
5.1. Standard Floral and Plant Orders: Cancellation, modification, or rescheduling of standard retail orders placed on the Website is permitted free of charge up to 24 hours prior to the scheduled delivery date.
5.2. Bespoke Installations, Individual Projects & Custom Events: For individual event designs, large-scale projects, bespoke floral/botanical installations, corporate events, or custom setups managed by the Company, cancellation or significant modification requests must be submitted at least fourteen (14) business days prior to the scheduled installation or delivery date. For the avoidance of doubt, business days are defined as Monday through Friday, excluding official UAE public holidays.
5.3. Method of Notice: Any cancellation or modification request must be submitted in writing via our official customer service channels (email: hello@eventslibrary.ae or our verified corporate WhatsApp number). Verbal requests via phone calls or social media comments will not be legally recognized.
5.4. Late Cancellations (Non-Refundability): Cancellations or modification requests submitted outside of the strict timeframes specified in Clauses 5.1 and 5.2 are strictly non-refundable. At this stage, specific botanical stock has already been secured, tailored, or imported exclusively from international suppliers for your project, and production/logistical scheduling has commenced.
5.5. Refund Processing Fee: In the event of a timely and approved cancellation (pursuant to Clauses 5.1 or 5.2), the refund will be processed back to the Customer’s original credit/debit card minus any non-refundable payment gateway processing fees charged by the financial intermediary (typically 2.5% - 3.5%).
6. Complaints, Returns, and Refunds
6.1. Perishable Goods Exemption: In accordance with UAE Federal Law No. (5) of 2020 on Consumer Protection, fresh-cut flowers and live plants are classified as perishable goods and are exempt from standard return, exchange, or refund policies based on personal preference change ("change of mind").
6.2. Quality Claims: If you receive damaged, wilted, or incorrect Products, you must submit a formal complaint to our customer service via email or WhatsApp within three (3) hours from the exact timestamp of delivery.
6.3. Evidence Requirement: To be eligible for a resolution (replacement or partial/full refund), the complaint must be accompanied by clear, high-resolution photographs and/or video of the affected Product, clearly showing the issue and the entire arrangement.
6.4. The Company will investigate the claim. If verified as our fault, Events Library will either replace the Product or initiate a refund. Refunds will be processed back to the original payment method and may take 7 to 14 business days depending on the issuing bank.
Remember flowers are a perishable product, different flower varieties have different life spans, and can be more delicate compared to other flower species.
7. Data Protection & Confidentiality
7.1. All personal data provided by the Customer is handled securely in compliance with UAE Federal Decree-Law No. (45) of 2021 on Personal Data Protection (PDPL).
7.2. Anonymous Deliveries: If the Customer requests an anonymous delivery, Events Library will not disclose the sender’s identity to the recipient. However, the Customer remains legally responsible for the intent and content of any accompanying text or message.
7.3. Content of Accompanied Messages: Events Library provides a service allowing Customers to include personal messages with their Product orders. The Customer agrees not to submit any message content that is offensive, defamatory, abusive, or violates the public morals, federal laws, and regulations of the United Arab Emirates. The Company reserves the right, at its absolute discretion, to refuse to print or include any message that it deems inappropriate or illegal, without creating any liability for a refund. The Customer agrees to indemnify and hold harmless the Company from any legal claims arising from the content of the Customer's message.
8. Governing Law & Jurisdiction
8.1. This Agreement shall be governed by, construed, and enforced in accordance with the laws of the Emirate of Dubai and the Federal laws of the United Arab Emirates.
8.2. Any dispute, controversy, or claim arising out of or relating to this Agreement, its interpretation, or the use of www.eventslibrary.ae shall be subject to the exclusive jurisdiction of the Courts of Dubai, United Arab Emirates.
9. Health & Safety Disclaimer (Allergies and Pet Toxicity)
9.1. The Customer acknowledges that flowers, plants, and foliage are natural biological items and may contain sap, pollen, or natural elements that can induce allergic reactions in sensitive individuals.
9.2. The Customer and recipient are advised that certain botanical species can be toxic or harmful if ingested by humans or domestic animals (including but not limited to cats and dogs). EVENTS LIBRARY FLOWERS AND PLANTS TRADING LLC shall not be held liable for any medical or veterinary emergencies, health complications, or damages resulting from allergic reactions or accidental ingestion of the Products.
